Landlords can take some solace in the fact that if the lease contains a condition requiring consent to be given by deed, then this is the only means to obtain permission to assign. In this case, the landlord, assignor, and assignee (together with any required guarantors) will all be parties to the licence, which is typically prepared in triplicate and distributed to each party upon completion.
A landlord may frequently want an indemnity clause in the licence, which requires the assignor and assignee to indemnify the landlord against all obligations, losses, costs incurred, and damages arising out of the licence. However, an assignor is likely to seek to limit the indemnity to reasonably incurred costs and expenses and to their own breaches.
The permission to assign granted by a licence normally expires three months after the licence is completed, during which time both the assignor and assignee may assign the lease. If no assignment occurs within the set time period, the licence will expire and the assignor will have to start anew.
