Our Approach
Cross-border mergers and acquisitions (M&A) have emerged as a way to quickly gain access to new markets and customers. Cross border transactions usually have international tax consequences.
The process involved is detailed and includes the following steps:
Appointing a corporate finance adviser
One of the first steps is to appoint a corporate financial adviser (CFA) who will help to find a buyer and also negotiate the principle terms of any agreement. Particular care must also be given to agreeing the CFAs terms of engagement.
Finding a buyer
The CFA will then work with the seller to create an Information Memorandum (IM) which will be used to market the business to potential purchasers. In addition to buyers already identified (usually identified from suppliers, customers and competitors) the CFA will research suitable bidders, investigate their funding circumstances and their acquisition track records to prepare a list of those whom they believe most suitable.
Identify The Most Suitable Sales Process
There are two main processes used in selling a business, bilateral (also called sale by private treaty) or auction. The decision of which method to employ will depend upon numerous factors including the seller’s objectives, timescales and the nature of the target business.
